This Terms of Use document (“TOS”) establishes a legal agreement between you, the end user (“You”/ “Your”), and (Rekonsile Com Private Limited, (CIN U62013KA2023PTC180328), a company incorporated under the Companies Act, 2013 of India, with its registered office at Clayworks Sahankara, Kanakapura Konanakunte, Doddallasandra, Bengaluru, Karnataka, India-560062 (hereafter referred to as “Rekonsile”). The term “Rekonsile” includes its legal representatives, successors, directors, employees, and assignees. This agreement pertains to the intellectual property rights of the cloud-based business reconciliation platform titled “Rekonsile” (“Platform”). The TOS outlines the terms on which Rekonsile grants all end users access to the Platform and its services (“Services”).
PLEASE READ THE TOS CAREFULLY. YOUR ACCEPTANCE OF THIS TOS AND USE OF THE PLATFORM INDICATE YOUR AGREEMENT TO BE LEGALLY BOUND BY THE TOS, THE PRIVACY POLICY AVAILABLE AT WWW.REKONSILE.COM/PRIVACY-POLICY, AND OTHER WEBSITE POLICIES.
This is a legally binding agreement, enforceable against You. Reconsile may modify the TOS at any time and will inform You accordingly. Continued access to the Platform after modifications implies acceptance of the revised TOS. If You disagree with the terms, please refrain from accessing or using the Platform.
The following are the terms and conditions governing Rekonsile’s permission for You to access and use the Platform and the Services.
1. REGISTRATION
1.1 To access the Platform, You must register and maintain a Rekonsile account (“Account”), providing necessary information to Rekonsile, including Your name, email ID, and any other required details (“Account Information”). Keep this information updated.
1.2 You are responsible for maintaining the confidentiality and security of the password and all activities occurring through Your Account. Rekonsile is not liable for harm resulting from theft, disclosure of Your ID, or unauthorized use of the Service.
1.3 Account Dos and Don’ts:
(a) Create an Account only if You are 18 years or above and competent to enter a contract.
(b) Provide accurate Account Information.
(c) Ensure completeness and accuracy of Account Information.
(d) Do not use another user’s Account Information.
(e) Do not share Your password.
(f) Upon completing registration, you gain access to the Platform and Services.
(g) Account, ID, and password are not transferable or sold.
1.4 Notify Rekonsile immediately of any unauthorized use of Your account or security breach.
1.5 For quality services and legal compliance, you consent to Rekonsile’s employees and agents accessing Your Account and records as needed.
1.6 You grant Rekonsile the right to disclose Your Account Information to affiliates, partners, or third parties as necessary for rendering Services or legal compliance.
2. SCOPE OF SERVICES
2.1 Rekonsile grants You a specific, non-exclusive, non-transferable license to access and use the Platform for payment and return reconciliation Management Services (“Services”).
2.2 Rekonsile retains all rights in the Platform and Services, granting You a limited license. No other license is intended. Rekonsile reserves rights in its name, trademarks, copyrights, and other intellectual property.
2.3 Use the Platform and Service for storing, printing, and displaying data. No other use is permitted.
2.4 Access the Platform and Services using a single user Account via multiple access points. Allow employees, agents, and contractors to access the Platform via Your Account but not third-party vendors.
2.5 Rekonsile provides necessary server management and maintenance services for the Platform at no additional cost.
2.6 Rekonsile does not guarantee constant Platform availability but will make reasonable efforts to maintain Service availability.
3. USE OF SERVICES
3.1 The Platform is a standard off-the-shelf application without customization.
3.2 Use Services solely for warehousing and to aid Your business. Do not sublicense or resell to other organizations.
3.3 Do not submit or upload illegal, misleading, defamatory, or objectionable material (“Objectionable Matter”). Abide by Rekonsile’s rules and all applicable laws.
3.4 You own the data uploaded to the Platform. Rekonsile will use reasonable security measures to protect it, but data security is not guaranteed.
3.5 Do not alter, resell, or sublicense the Platform. Do not reverse engineer, circumvent security features, or interfere with the Platform’s security.
3.6 Rekonsile is an intermediary under the Information Technology Act, 2000, not monitoring or controlling data uploaded by You. Do not upload content violating laws or infringing on others’ rights.
4. FEES
4.1 The Platform operates on a prepaid or recharge model. Choose from payment options in the billing section of Your Rekonsile account (“Fees”).
4.2 Fees exclude applicable taxes, payable through various methods. Rekonsile will notify You of any Fee changes in advance. All payments are final and non-refundable.
4.3 Advance payment is non-refundable. The initial upgrade amount has a validity of 90 days. No refund for unprocessed orders or non-activity.
4.4 Services are subject to internet, data, and cellular network charges. You are responsible for these charges in addition to Fees.
5. INDEMNIFICATION
Indemnify and hold harmless Rekonsile, its affiliates, and third-party providers against claims, losses, damages, costs, and expenses arising from Your use of the Platform and Services or breach of TOS.
6. DISCLAIMER OF WARRANTIES
6.1 The Platform and Services are provided “as-is” and “with all faults and risks.” Rekonsile does not warrant the accuracy, reliability, or specific purposes of the Platform, Services, or data security.
6.2 Rekonsile disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. No guarantee of compliance with laws or regulations.
7. LIMITATION OF LIABILITY
7.1 You assume the entire risk of using the Platform and Services. Rekonsile is not liable for special, incidental, or consequential damages arising from Platform use or security breaches.
7.2 Rekonsile’s aggregate liability is limited to the total Fees received from You for the one (1) month preceding the claim.
8. NOTICE AND TAKEDOWN MECHANISM
8.1 Content uploaded may be subject to e-commerce websites’ notice and takedown provisions. Otherwise, send a notice to Rekonsile’s Grievance Officer as per the provided mechanism.
8.2 If You are the owner of copyright or believe in infringing content, follow the notice and takedown procedure.
8.3 Inform the Grievance Officer if any content violates TOS.

8.5 Knowingly misrepresenting may lead to legal liability.
9. SUSPENSION AND TERMINATION
9.1 Services remain in effect until suspended or terminated.
9.2 Terminate Your registration by email if You no longer wish to use the Platform. Termination results in loss of Platform access.
9.3 Rekonsile reserves the right to suspend or terminate Your Account for various reasons as outlined in TOS.
9.4 Terminate Account if unable to go live within 30 days of upgrade, with no refund.
9.5 Terminate Account if no order processing occurs for one (1) month, with no refund.
9.6 Upon termination, Your right to access the Platform and use Services ceases.
9.7 Rekonsile has no refund policy. No refund will be provided.
9.8 Data stored on the Platform may not be retrievable after termination.
10. GOVERNING LAW
This TOS is governed by Indian laws. Bengaluru (Karnataka) courts have exclusive jurisdiction over disputes arising from the TOS. You agree to the application of Indian laws and jurisdiction.
11. FORCE MAJEURE
Rekonsile is not liable for events beyond its control, constituting a Force Majeure Event. This includes non-availability of the Platform due to various reasons.
12. WAIVER
Rekonsile’s failure to enforce the TOS does not waive its right to do so later.
13. SEVERABILITY
If any provision is deemed invalid, it does not affect the validity of the remaining provisions.
14. ENTIRE AGREEMENT
The TOS, Privacy Policy, and related policies constitute the entire agreement superseding all prior understandings.
